Terms and Conditions of Sale

These Terms and Conditions of Sale (hereinafter "T&C") govern the purchase of products and services offered by TALBOX di Taleb Badr through the website klepa.it. Please read carefully before proceeding with a purchase. Purchasing implies full acceptance of these T&C.
1. Seller and Contact Details
Seller: TALBOX di Taleb Badr, registered office in Suzzara (MN), Italy. VAT number IT02617720202.
Email: info@klepa.it — customer support available on working days from 9:00 to 18:00 (CET/CEST).
The KLEPA brand is the exclusive property of TALBOX di Taleb Badr. Physical NFC cards are produced in collaboration with PRINTSERVIS (a brand of TALBOX di Taleb Badr).
2. Subject Matter
These T&C govern: (a) the sale of physical NFC cards (Essential, Custom, Premium, Metal, Wood, NFC Sticker) and related accessories; (b) the provision of digital subscription services for managing the KLEPA digital profile (Free, Pro, Business, Team plans); (c) optional add-on services (AI Card Designer, advanced analytics, Wallet pass, etc.).
Physical products are material goods shipped to the address provided by the purchaser. Digital services are provided online via the klepa.it platform and the KLEPA mobile app.
Product descriptions, images and technical specifications on the site are for informational purposes. We reserve the right to make technical changes to physical products without prior notice, provided they do not affect the essential features.
3. Prices and VAT
All prices on the site are expressed in Euros (€) and include Italian VAT (22% on physical cards, 22% on digital services to final consumers in Italy).
For sales to consumers in other EU countries, the applicable VAT rate is that of the consumer's country of residence under the OSS (One Stop Shop) rules. VAT is calculated automatically at checkout via Stripe Tax.
For B2B sales to VAT-registered businesses in other EU countries with a valid VAT number (verified via VIES), the reverse charge mechanism applies. The amount shown at checkout is exclusive of VAT.
Prices may be changed at any time, but changes do not apply to already confirmed orders. Promotional offers are valid until the conditions stated expire.
4. Order Process
The sales contract is concluded when the Customer receives the order confirmation email from KLEPA. The order confirmation constitutes acceptance of the offer and a summary of the concluded contract.
The order process comprises: (1) product/plan selection; (2) entry of shipping and billing details; (3) choice of payment method; (4) review of the order summary; (5) order confirmation with payment obligation; (6) receipt of order confirmation by email.
We reserve the right not to accept an order in the event of: product unavailability, an obvious price error, inability to verify payment details, suspected fraud. In such cases the Customer will be promptly notified and any payment already made will be refunded in full.
For customised products (Custom, Premium, Metal, Wood), after order confirmation a design proof will be sent for approval. Production will only begin after the Customer's explicit approval.
5. Payment Methods
Payments are processed securely via Stripe, Inc. Accepted payment methods include: credit/debit cards (Visa, Mastercard, American Express), Google Pay, Apple Pay, Klarna (buy now, pay later), PayPal.
All payment data are encrypted via TLS 1.3 and managed directly by Stripe in compliance with PCI-DSS Level 1. KLEPA does not store or have access to full payment card data.
For subscriptions (Pro, Business, Team plans), payment is made via recurring charge authorised by the Customer at the time of subscription. The amount is automatically charged at the end of each billing period (monthly or annual). The Customer can manage, modify or cancel the subscription at any time from the customer portal accessible from their account.
In the event of a failed recurring subscription payment, KLEPA reserves the right to suspend or downgrade the account to the Free plan after a 7-day grace period, with prior notice by email.
6. Delivery of Physical Products
Physical NFC cards are shipped to the address provided by the Customer at the time of order. KLEPA is not responsible for errors in the delivery address provided by the Customer.
Production and delivery times are indicative: standard cards (Essential): 2–4 business days; customised cards (Custom, Premium, Metal, Wood): 5–10 business days from approval of the design proof.
Shipments are made via couriers (GLS, BRT, Poste Italiane). A tracking link is sent by email when the order is dispatched.
Risk of loss or damage of products transfers to the Customer when the carrier takes possession of the goods. In the event of visible damage to packaging, the Customer is advised to note a reservation on the carrier's delivery document and report it to us within 48 hours at info@klepa.it.
7. Digital Service Activation
Each physical NFC card is paired with a KLEPA digital profile. The digital service (profile + analytics + links) is accessible immediately after account creation, even before receiving the physical card.
With any physical card purchase, the Customer receives the Pro plan free for 6 months. At the end of the 6 months, the profile is automatically downgraded to the Free plan, unless a paid subscription is activated.
The physical card is activated (linked to the profile) at the first tap in the designated area within the KLEPA mobile app or via the guided procedure on the website.
8. Intellectual Property
The KLEPA brand, logo, card designs, graphic templates, platform source code, texts and site content are the exclusive property of TALBOX di Taleb Badr and are protected by copyright and trademark law.
Reproducing, distributing, modifying or using site content for commercial purposes without prior written authorisation is prohibited. The user retains full ownership of the content (photos, texts, logos) they upload to their KLEPA profile and grants KLEPA a limited, non-exclusive, royalty-free licence to display them on the platform.
AI-generated templates created via the AI Card Designer are licensed to the user for personal, non-exclusive use within the KLEPA platform.
9. Limitation of Liability
KLEPA is not liable for: indirect damages, loss of profit, loss of data or consequential damages arising from the use or inability to use the services; NFC service malfunctions caused by incompatible customer devices; service interruptions due to scheduled maintenance, force majeure or events beyond KLEPA's reasonable control.
KLEPA's total liability for any claim relating to an order shall not exceed the total value of that order.
KLEPA warrants that physical products are free from manufacturing defects. The legal conformity guarantee is 24 months for consumers, pursuant to Italian Consumer Code (Legislative Decree 206/2005). For details on the guarantee, see the Guarantee page.
10. Right of Withdrawal (Consumers)
A customer who is a consumer (a natural person acting for purposes outside their trade or profession) has the right to withdraw from the contract within 14 days of receiving the physical product (or from conclusion of the contract for digital services), without providing any reason, pursuant to Arts. 52–58 of Italian Legislative Decree 206/2005.
Customised products (Custom, Premium, Metal, Wood) made to the Customer's specifications are excluded from the right of withdrawal, pursuant to Art. 59(c) of Italian Legislative Decree 206/2005.

11. Governing Law and Jurisdiction
These T&C are governed by Italian law. For consumer disputes, the Italian Consumer Code (Legislative Decree 206/2005) and the consumer protection rules of the EU buyer's country of residence apply, where more favourable.
For disputes with consumers resident in Italy, the exclusively competent court is that of Mantova, unless the consumer resides or is domiciled elsewhere, in which case the competent court is that of the consumer's place of residence or domicile.
For disputes with commercial operators (B2B), the exclusively competent court is the Court of Mantova.
Information on alternative dispute resolution (ADR/ODR): EU consumers may access the European ODR platform at https://ec.europa.eu/consumers/odr/ for out-of-court dispute resolution.
12. Changes to the Terms
KLEPA reserves the right to modify these T&C at any time. Changes take effect from the date of publication on the site. Registered users will be informed of material changes by email with at least 30 days' advance notice.
Continued use of the site or services after changes constitutes acceptance of the new T&C. If a Customer disagrees with the changes, they have the right to withdraw from active subscriptions without penalty, provided they do so before the changes take effect.
